Acceptance of OrdersACCEPTANCE OF ORDERS; CONTRARY TERMS; ACCEPTANCE OF BUYER'S ORDERS IS CONDITIONED UPON BUYER'S ASSENT TO THE FOLLOWING TERMS AND CONDITIONS, AND ANY INCONSISTENT PROVISIONS OF ANY PURCHASE ORDER OR OTHER WRITING SHALL NOT CONSTITUTE A PART OF THE CONTRACT OF SALE. If any of these terms and conditions are not acceptable to Buyer, we must be notified promptly.
Pricing and SpecificationsAll prices reflect Buyer's cost in US currency. The prices do not include freight, applicable federal, state, and local taxes, charges and duties, or special crating requirements for export shipment. Buyer shall pay all such costs, taxes, charges and duties. Prices, colors and specifications are subject to change without notice.
Payment TermsOpen account terms of net 30 days after shipment are extended to firms listed and satisfactorily rated by Dun and Bradstreet. Unrated or unlisted firms are requested to submit two major trade references and the name of their local bank. Orders made by firms applying for credit will not be processed until we have completed its credit review.
Exclusive WarrantyAll products are warranted to the extent of the manufacturer's express warranties and are to be free from defects in materials and workmanship under normal use and service. This warranty is exclusive and is in lieu of any other warranty, express or implied, including, but not limited to, and implied warranty of merchantability or fitness for a particular purpose.
Buyer's Exclusive RemediesOur liability and Buyer's exclusive remedies under this warranty shall be limited solely to repair, replacement, credit or refund, at our option, with respect to products returned to our pursuant and instructions. We shall not be liable, under any circumstances, for consequential or incidental damages, including, but not limited to, labor costs or loss of profits arising in connection with the use or inability to use products purchased from us.
ShippingItems designated as STOCK ship FOB from one of our distribution centers. All other items are FOB the point(s) of origin indicated. Unless otherwise requested by Buyer, goods will be shipped via carriers of our choice with shipping, handling, insurance, and packaging charges prepaid and added to the invoice. Any extra charges for services requested by Buyer, i.e., special routing, inside delivery, or pre-delivery notification must be paid by Buyer.
Damaged Shipments: Risk of LossBuyer should thoroughly inspect all items for shipping damage before accepting delivery. If damage has occurred, Buyer should note the extent of the damage on the freight bill and immediately notify the carrier. Although our responsibility for loss and damage ceases when the carrier accepts the products for shipment, we will, when notified, file a damage claim for goods shipped via a carrier of our choice, issue credit for the damaged goods and ship an immediate replacement. Buyer shall, at our option, return any damaged products to us pursuant to our instructions.
Return Goods Policy & ProcedureIf it is necessary to return a product to us, Buyer must contact the our sales and service department within 30 days of invoice date for a Returned Goods Authorization Number and shipping instructions prior to the returning of the merchandise. All returns must be shipped prepaid, in resalable condition, and are subject to inspection for damage or misuse prior to issuance of a credit or refund and will be subject to a minimum 25% restocking charge for items shipped from our inventory, and subject to manufacturer restocking charges for drop ship items. Custom and made-to-order products are non-returnable except with the prior written approval from the manufacturer. If the return is due to our error, we will issue a full credit including shipping charges.
Dealers' LawThe validity, construction and enforcement of the purchase agreement between us and Buyer shall be governed by and interpreted under the laws of the State of Florida. In the event of any dispute arising out of this agreement, you consent to the personal jurisdiction of the federal and/or state courts located in the County of Orange, State of Florida, United States of America.
Aircraft ProductsWe do not sell products intended to be used as Aircraft Products. We shall not be responsible to Buyer or any third party, including any customer of Buyer, or liable for any liability, damage, loss, injury, demand, claim or suit that directly or indirectly arises out of or allegedly arises out of use of or is attributable or due to use of the products we sell as Aircraft Products. “Aircraft Products” means (i) aircraft, missiles or spacecraft and any ground support or control equipment used in connection with aircraft, missiles or spacecraft; (ii) products installed in or used in connection with aircraft, missiles or spacecraft, including spare parts, ground handling tools and equipment; (iii) training aids, instructions, manuals, blueprints, engineering or other advice; and (iv) any services and labor related to any of the above. Buyer warrants that it shall not use or install or offer for sale an item purchased from us as an Aircraft Product. In addition, Buyer shall not sell to any of its direct or indirect customers, any item purchased from us which its customer intends to use as an Aircraft Product and shall advise its customers in writing of such prohibition.
